Wayn Terms & Conditions

1. Scope of Service & "Non-Carrier" Status
The Marketplace Model: Wayn is a technology platform, not a transportation company. We do not employ drivers, nor do we own vehicles.
No Agency: You acknowledge that Drivers are independent third-party contractors. No joint venture, partnership, or employment relationship exists between you and Wayn.
Quality of Service: While Wayn screens drivers, we do not guarantee the condition of the vehicle or the specific behavior of the Driver.
2. Financial Terms & Payment Processing
Fare Calculation: Fares are calculated based on base rates, distance, and time. Wayn reserves the right to implement Dynamic Pricing (Surge) during periods of high demand.
Pre-Authorization: Upon requesting a ride, Wayn may place a temporary "authorization hold" on your payment method to verify funds.
Tolls and Surcharges: Any tolls (road, bridge, airport) incurred during the trip will be automatically added to the final fare.
Cleaning and Damage Fees: If a Rider causes damage to a vehicle (e.g., spilling food, physical damage), Wayn reserves the right to charge the Rider’s saved payment method for the full cost of professional cleaning or repair based on evidence provided by the Driver.
3. Cancellation & Waiting Policies
Rider Cancellation: If a Rider cancels after a Driver has accepted (usually after a 2-minute grace period), a fixed Cancellation Fee will apply.
Driver Waiting Time: Drivers are required to wait for a minimum of 5 minutes at the pickup location. After this period, the Driver may cancel the ride as a "No-Show," and the Rider will be charged a penalty fee.
Excessive Cancellations: Wayn reserves the right to suspend accounts that show a pattern of "phantom bookings" or excessive cancellations that disrupt the marketplace.
4. User Conduct & Safety
Zero Tolerance Policy: Wayn has a zero-tolerance policy for the use of drugs or alcohol by Drivers. Any Rider who suspects a Driver is under the influence has the right to end the trip immediately and report the incident.
Prohibited Items: Users may not transport hazardous materials, illegal substances, or unsecured firearms.
Non-Discrimination: You may not discriminate against any user based on race, religion, physical disability, or sexual orientation. This includes refusing a Rider because of a service animal.
Minors: Children under 18 are prohibited from using a Wayn account unless accompanied by the account holder.
5. Driver-Specific Obligations
Licensing & Insurance: Drivers must maintain active commercial insurance and a valid driver's license. Failure to provide updated documents via the app will lead to immediate deactivation.
Vehicle Standards: Drivers agree to keep their vehicles in a "roadworthy" condition, meeting all local safety inspections.
Direct Contact: Drivers are prohibited from contacting Riders after the trip is completed for any reason other than returning a lost item.
6. Limitation of Liability & Indemnification
Cap on Liability: To the maximum extent permitted by law, Wayn’s total liability for any claim shall not exceed the total amount paid by the user to Wayn in the 6 months prior to the incident.
Indemnity: You agree to indemnify and hold Wayn harmless from any claims, losses, or damages (including legal fees) arising out of your breach of these Terms or your violation of the rights of a third party (e.g., a traffic accident caused by a Driver).
7. Dispute Resolution (Arbitration)
Class Action Waiver: You agree that any legal dispute will be settled via binding arbitration on an individual basis, and you waive your right to participate in a class-action lawsuit.
Governing Law: These terms are governed by the laws of the jurisdiction where Wayn is headquartered.
Implementation Checklist
To make these terms legally "sticky," I recommend the following in your app:
Clickwrap Agreement: Do not let a user finish registration until they check a box that says "I have read and agree to the Terms and Conditions."
Versioning: If you update these terms later, send a push notification. Continued use of the app after the update should legally count as acceptance of the new terms.
